The Partnership Agreement – Terms & Conditions (Handshake)

This Partnership Agreement ("Agreement") is entered into between the Company and Handshake (the "Parties"). The identity and principal place of business of each Party shall be as specified in the quotation document that references and incorporates these Terms & Conditions by reference.

Each of the Company and Handshake may be referred to individually as a "Party" and collectively as the "Parties."

1. Billing and Payment

The Company shall pay Handshake the fees set forth in the applicable quotation issued for the services. Fees may include one-time project fees, packaged consulting hours, or other engagement-based pricing models as defined in the quotation. All invoices must be settled within seven (7) days of issuance. In the event of delayed payment, Handshake reserves the right to pause or withhold services until the outstanding amount is settled. Additionally, persistent late payments may be considered a material breach under this Agreement. No refunds shall be provided under this Agreement.

2. Term and Commitment

This Agreement applies to the services defined in the associated quotation and remains in effect until the completion of the specified deliverables or expiration of the allocated time period. No minimum contract duration or auto-renewal applies unless explicitly agreed in writing by both Parties.

3. Termination

Either Party may terminate the Agreement with thirty (30) days written notice. Immediate termination is allowed in cases of material breach, including but not limited to non-payment or breach of confidentiality. Upon termination, all outstanding amounts, including service fees and due commissions, shall become immediately payable and must be settled within thirty (30) days.

4. Scope of Services and Service Level

Handshake will provide project-based and on-demand sales consulting services tailored to the Company’s business needs. The specific deliverables and service structure for each engagement shall be defined in the applicable quotation. The scope of work may include, for example:

• Jumpstart engagements: Odoo & CRM audit, definition of ICP and service offer, deal management workshop, sales playbook setup, and a 30-day growth roadmap.
• Success Packs: Discovery call support, demo setup and presentation, pricing and proposal review, deal negotiation and follow-up, and support for RFPs or custom scopes.

Handshake commits to responding to all communications and service requests within forty-eight (48) hours. Summary reports or status updates may be shared during or at the end of the engagement upon request.
